GoCaddie Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the GoCaddie mobile application and related services (the "Services") provided by ProCaddie Limited ("ProCaddie", "we", "us", "our"), a Delaware corporation.

By downloading, accessing, or using GoCaddie, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

GoCaddie is available to users of all ages. Users under the age of 13 must use the Services with the involvement and consent of a parent or legal guardian, where required by applicable law.

3. License to Use the App

Subject to your compliance with these Terms, ProCaddie grants you a limited, non-exclusive, non-transferable, revocable license to download and use GoCaddie on a device you own or control, solely for your personal, non-commercial use.

This license is governed by the Apple Licensed Application End User License Agreement ("Standard EULA"), available at apple.com/legal/internet-services/itunes/dev/stdeula, except as expanded or modified by these Terms.

4. Subscriptions & Payments

GoCaddie offers paid subscriptions processed exclusively through Apple's In-App Purchase system. The current subscription title, length, and price are displayed in the App Store at the time of purchase.

4.1 Auto-Renewing Subscription

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period, at the price displayed at the time of subscription.
• Subscriptions may be managed and auto-renewal may be turned off by going to your Apple ID Account Settings after purchase.

4.2 Free Trials & Promotional Offers

If a free trial or promotional offer is provided, any unused portion will be forfeited when you purchase a subscription, where applicable by law.

4.3 Refunds

All purchases are final. Refund requests are processed solely by Apple in accordance with Apple's refund policy. ProCaddie does not process refunds directly.

4.4 Founding Members

Founding member pricing, when offered, is processed through Apple In-App Purchase at the price displayed in the App Store at the time of purchase. Reserving a founding spot through the GoCaddie website does not constitute a purchase or charge.

5. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract source code from the Services
• Use the Services to violate any law or regulation
• Resell, redistribute, or commercially exploit the Services
• Interfere with or disrupt the Services or their infrastructure
• Submit false, misleading, or unlawful content
• Use the Services to harm or harass others

6. User Content

You retain ownership of any content you upload (e.g., photos, voice input, golf-related data). By uploading content, you grant ProCaddie a limited, non-exclusive license to use, store, and process that content solely for the purpose of operating the Services.

You are responsible for ensuring you have the right to upload any content you provide.

7. Intellectual Property

The GoCaddie name, logo, application, and all associated content are the property of ProCaddie Limited and are protected by applicable intellectual property laws. These Terms do not grant you any rights to use ProCaddie's trademarks or copyrighted material outside of normal use of the Services.

8. Third-Party Services

GoCaddie integrates with third-party services, including Apple In-App Purchase and RevenueCat for subscription management. Your use of those services is subject to their own terms and privacy policies. ProCaddie is not responsible for third-party services.

9. Termination

You may stop using GoCaddie at any time and may delete your account through the in-app option or by emailing mattia@procaddie.ai.

ProCaddie may suspend or terminate your access to the Services if you violate these Terms or applicable law. Termination does not entitle you to a refund of unused subscription periods, except where required by law.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

GoCaddie provides golf-related guidance for informational purposes. ProCaddie does not guarantee any particular outcome, score improvement, or performance result from use of the Services.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ProCaddie shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.

ProCaddie's total aggregate liability arising out of or related to these Terms shall not exceed the amount you paid to access the Services in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless ProCaddie Limited, its officers, employees, and affiliates from any claims, damages, or expenses arising out of your violation of these Terms or your misuse of the Services.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.

15. Apple-Specific Terms

You acknowledge that these Terms are between you and ProCaddie Limited, not with Apple. Apple is not responsible for the Services or their content. Apple has no obligation to provide maintenance or support for GoCaddie.

In the event of any failure of the Services to conform to applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligations with respect to the Services.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you.
